Conditions or restrictions on the supply of goods
This policy sets forth the terms, conditions, scope, and limitations governing the supply of goods (bedding, quilts, pillows, mattresses, and textile accessories) and manufacturing services (OEM/ODM) to international clients ordering via our global export portal
1. Delivery Scope & Export Market Restrictions
Service Scope: Lasante’ manufactures and ships goods to most countries and territories worldwide via international seaports and airports in Vietnam (Haiphong Port, Cat Lai Port, Noi Bai International Airport, etc.).
Restricted Destinations: We reserve the right to decline service or delivery to countries or territories under trade embargoes or economic sanctions imposed by the United Nations or Vietnamese Law.
2. Minimum Order Quantity (MOQ) Requirements
Due to the nature of international manufacturing and shipping:
Sample Orders: Minimum order quantities start at 01 set/item, allowing clients to evaluate product quality prior to signing formal contracts.
Wholesale / OEM / ODM Orders: Each Stock Keeping Unit (SKU) or export batch must meet the Minimum Order Quantity (MOQ) specified by our factory at the time of quotation (e.g., typically 50 – 200 sets/SKU depending on material specs).
Lasante’ reserves the right to decline manufacturing requests that do not meet agreed MOQ thresholds.
3. Production Lead Times, Shipping Schedules & Force Majeure
Production Lead Time: Total turnaround time depends on order volume, product complexity, and factory scheduling (averaging 15 – 45 working days following deposit confirmation and final sample approval).
Exemption from Delay Liability (Force Majeure): Lasante’ and its freight forwarding partners are fully exempted from liability for damages or penalties, and shall be granted a reasonable extension of delivery timelines, for delays resulting from events beyond reasonable control, including but not limited to:
Natural Disasters & Severe Weather: Typhoons, severe storms, tsunamis, earthquakes, droughts, or landslides that disrupt raw material supply chains or lead to port closures and flight delays.
War & Geopolitical Instability: Riots, armed conflicts, acts of war, military threats, terrorism, or sudden international trade blockades.
Maritime Route Disruptions: Closures of international shipping canals, attacks on commercial vessels, or required rerouting of ocean freight due to active conflict zones.
Supply Chain & Governmental Actions: Pandemics, government-mandated lockdowns, large-scale labor strikes, or severe port congestion at origins or destinations.
Incident Notification Protocol: In any Force Majeure event, Lasante’ will notify the buyer promptly via email/official written notice, provide supporting evidence, and negotiate fair solutions in good faith.
4. Technical Standards & Regulatory Compliance Limitations
Local Market Compliance: The Buyer (Importer) is responsible for informing Lasante’ prior to contract signing regarding all technical specifications, labeling requirements, and chemical/textile safety certifications (e.g., OEKO-TEX, GOTS, ISO) mandatory in their destination market.
Lasante’ only guarantees compliance with quality standards and certifications explicitly agreed upon and detailed in the written commercial contract.
5. Customs Duties & Import Clearance Limitations
Customs Clearance Scope: Lasante’ is responsible for completing valid export customs procedures in Vietnam. We assume no liability for goods detained, fined, or destroyed at origin or destination ports due to the Buyer’s failure to pay import duties or fulfill local regulatory requirements.
Tariff Changes: Any additional costs arising from unexpected tariff updates, import bans, or regulatory shifts enacted by the importing country's government post-dispatch remain the sole responsibility of the Buyer.
6. Service Modification & Refusal Rights
Lasante’ reserves the right to decline service, unilaterally cancel orders, or suspend partnerships under the following conditions:
Failure by the Buyer to adhere to agreed deposit or progress payment schedules.
Discovery of commercial fraud, intellectual property infringement, or misrepresentation of corporate identity.
Manufacturing requests that violate public morals, Vietnamese laws, or international regulations.
